Proposed Bylaw Amendments for Quorum of Directors at Director’s Meetings:
Current:
5 The quorum for the transaction of business at a directors’ meeting is a majority of the directors. (a) The Directors may from time to time fix the quorum necessary for the transaction of business, and unless so fixed the quorum shall be a majority of the Directors then in office. Directors participating by telephone or telephone conference call shall be considered part of the quorum.
Proposed Amendment:
5.5 The quorum for the transaction of business at a directors’ meeting is minimum of four directors. (a) The Directors may from time to time fix the quorum necessary for the transaction of business, and unless so fixed the quorum shall be four of the Directors then in office. Directors participating by telephone or telephone conference call shall be considered part of the quorum.
